Terms of Service

These Terms govern your use of the Shaped Supply Co-op wholesale showroom at co-op.shapedsupply.com (the “Platform”). By applying for or using an account, you agree to these Terms.

1. What Shaped Supply is

Shaped Supply Co-op is a business-to-business wholesale showroom that connects independent brands with approved retail buyers. We are an intermediary and showroom — we are not the seller of any brand’s products, and we do not process payments on the Platform.

2. Accounts & eligibility

  • The Platform is for businesses only. You must apply and be approved to access it.
  • You must provide accurate information and keep it current.
  • You are responsible for your login credentials and all activity under your account.
  • We may approve, decline, suspend, or remove accounts at our discretion.

3. Orders are requests

Orders submitted on the Platform are order requests, not completed sales. An order becomes binding only when confirmed by Shaped Supply and/or the brand. Prices shown are wholesale and are visible to approved buyers. No payment is collected on the Platform.

4. Payment & fulfillment are between you and the brand

When you order from a brand, that brand invoices you, collects payment, and ships the goods directly. Shaped Supply is not a party to that transaction and is not responsible for product quality, fulfillment, shipping, returns, or payment disputes, which are solely between the buyer and the brand.

5. Acceptable use

  • Use the Platform only for legitimate wholesale business.
  • Do not misuse, copy, scrape, or resell access to the Platform or its content.
  • Do not attempt to disrupt or gain unauthorized access to the Platform.

6. Content & intellectual property

Brand names, imagery, and line-sheet content belong to the respective brands. The Shaped Supply name, marks, and the Platform itself belong to Shaped Supply. You may not use them without permission.

7. Disclaimers

The Platform is provided “as is” and “as available,” without warranties of any kind. We do not guarantee that listings, pricing, or availability are error-free, or that the Platform will be uninterrupted or secure.

8. Limitation of liability

To the fullest extent permitted by law, Shaped Supply will not be liable for any indirect, incidental, or consequential damages, or for disputes between buyers and brands. Our total liability for any claim relating to the Platform is limited to USD $100.

9. Indemnification

You agree to indemnify and hold Shaped Supply harmless from claims arising out of your use of the Platform or your transactions with brands or buyers.

10. Termination

You may stop using the Platform at any time. We may suspend or terminate access if you violate these Terms.

11. Governing law

These Terms are governed by the laws of the State of California. Any dispute will be handled in the state or federal courts located in San Diego County, California.

12. Changes

We may update these Terms. Continued use of the Platform after changes take effect means you accept the updated Terms.
